Protium Finance is negotiating to buy Clix Capital for Rs 1,900-2,200 crore, aiming to expand its market presence and product offerings.

Mumbai | Kolkata: Protium Finance, a Mumbai-based non-bank lender, is in advanced discussions with key shareholders of Clix Capital to acquire the mid-market commercial finance company. This strategic move is intended to enhance Protium's scale and allow entry into new markets and product lines, according to sources familiar with the negotiations.

Both parties are currently engaged in exclusive negotiations and anticipate finalizing legal documentation and agreements by August. Protium is expected to value Clix at approximately Rs 1,900-2,200 crore, which equates to 1.2 to 1.5 its book value. The valuation of non-banking financial companies (NBFCs) has seen a decline from record highs over the past year and a half, primarily due to tighter regulatory norms, rising borrowing costs, and moderating loan growth.

A successful acquisition would enable Aion Capital Partners—a joint venture between US alternative investment managers Apollo Global Management and ICICI Bank—to exit the last of its investments from its inaugural $825 million fund. In 2016, former GE executives Pramod Bhasin and Anil Chawla collaborated to acquire GE Finance when the US industrial giant decided to divest several of its non-core business operations.

Background on Clix Capital

Clix Capital was established by Bhasin and Chawla, who were instrumental in the Indian BPO industry, and has been focused on digital lending and analytics since its rebranding. The firm has been on the market since late 2024 when Apollo mandated Barclays and Moelis to initiate a formal sale process. Since then, various suitors, including TVS Capital and Ugro Capital, have shown interest, although many negotiations have faltered due to valuation discrepancies and funding challenges.

Chawla also attempted a management buyout but struggled to secure sufficient backing. As of September 2025, Protium's total assets under management stood at Rs 8,675 crore, a significant increase from Rs 2,908 crore in March 2023. This growth trajectory highlights Protium's aggressive expansion strategy, which has been facilitated by its focus on underserved segments of the market, particularly MSMEs that often face challenges in accessing traditional financing.

The firm operates 123 branches across 16 states, showcasing its rapid expansion in the competitive financial services market. In contrast, Clix Capital reported consolidated assets under management of Rs 7,675 crore at the end of September last year, with a loan book of Rs 6,200 crore. The company has a wholly owned subsidiary, Clix Housing, and posted a net profit of Rs 30 crore in the first half of FY26 on a total income of Rs 559 crore. This performance indicates a stable financial footing, despite the challenges faced in the broader market. Apollo Global Management has declined to comment on the ongoing negotiations, and attempts to reach Bhasin, Chawla, and Misra for further insights were unsuccessful.
